JuBaKo's Terms of Service

GENERAL

◆ General Rules & Eligibility・ These Terms of Service (hereinafter "ToS") define the conditions for the creative services provided by the artist (hereinafter "the Artist").・ By applying for the Artist’s services, the client (hereinafter "the Client") is deemed to have agreed to all terms and conditions of this ToS.・ Clients must be at least 18 years of age to use this service.◆ Acceptance and Formation of Contract・ The Artist reserves the right to refuse any request due to content (e.g., violation of public order and morals), production schedule, or other reasons. The Artist is not obligated to disclose the specific reasons for refusal.・ Inquiries and price quotes will generally be answered within one week.・ For waitlisted requests, an invoice will be sent early the month production is scheduled to begin. Production will commence once payment is confirmed.

PAYMENTS

・ First-time Clients: Individual clients requesting for the first time are required to pay the full amount upfront via PayPal.・ Returning Clients: Installment payments (from the 2nd request) and post-payment options (from the 3rd request onward) may be considered upon discussion.・ Special Provision for Installments: If a first-time client requires installment payments, the request must be made via the external platform "VGen."・ Deadline: If payment is not confirmed by the specified deadline, the request will be automatically canceled.

REVISIONS

・ Free Revisions: Up to 2 free revisions are allowed at each stage (e.g., Sketch, Coloring). A fee will be charged for the 3rd revision onward.・ Limitations: Major changes (e.g., overhaul of pose or design) after moving to the finishing stage, or a complete redrawing of the sketch, will not be accepted.・ Specificity of Instructions: If specific details are not provided at the time of the request, the Artist will proceed based on their own discretion. Requests for major changes after production due to abstract instructions may incur additional fees.

DELIVERY AND DEADLINES

・ Standard Turnaround Time:
【Standard Production】: 4–6 weeks
【Animation-ready (Layered) Art】: Standard + 2–3 weeks
Note: These times may vary depending on the workload.

・ Notification of Delays: In the event of delays due to workload or emergencies, the Client will be notified immediately.・ Priority: Rush orders (with an additional fee) or urgent matters may affect the production order.

◆Delivery Completion・ Inspection Period: The "Delivery Date" is the day the Artist sends the finished work. The Client must inspect the content within 7 days of delivery.・ Automatic Acceptance: If no revision requests or reports of defects are received within 7 days, or if the work is used on SNS, etc., the inspection is deemed complete and the delivery "Finalized."・ Post-Completion Revisions: Any revision requests after the delivery is finalized will be treated as a new, paid commission.

COMMUNICATION LAPSE

・ Interruption of Production: If the Client fails to respond to a message from the Artist (e.g., sketch approval) for 14 consecutive days, production will be suspended.・ Termination & No Refund: If the lapse exceeds 30 days, the Artist may terminate the contract at their discretion. In this case, no refunds will be provided regardless of progress.・ Resumption Fee: To resume production after a communication lapse, a resumption fee (20% of the total price or more) may be charged to cover schedule adjustments.

USAGE RIGHTS AND PROHIBITIONS

・ Scope of Use: The final product is for personal use only (e.g., SNS icons, personal viewing).・ Prohibited Acts: Transfer to third parties, resale, unauthorized editing/alteration, secondary distribution, and claiming authorship (self-attribution) are strictly prohibited.・ Credit: When using the work, the Artist’s name (JuBaKo) must be clearly credited.・ AI/NFT Prohibition: Use for Generative AI (including training) and NFT purposes is strictly forbidden under all circumstances.

COMMERCIAL USE AND PENALTIES

・ Definition: Use for merchandise sales, monetized platforms, or activities involving advertising revenue requires a separate commercial use fee.・ Unauthorized Commercial Use: If unauthorized commercial use is discovered, the Artist will charge the standard commercial fee plus a penalty of 3 times that amount. In malicious cases, legal action will be taken, and an injunction against the use of the work will be requested.

INTELLECTUAL PROPERTY RIGHTS

・ Copyright: The copyright of the work belongs to the Artist (JuBaKo).・ Promotion: The Artist reserves the right to post the commissioned work on SNS (X/Twitter, etc.) and portfolios as part of their professional track record.

CANCELLATIONS AND REFUNDS

・ General Rule: Due to the nature of custom-made digital content, refunds for client-side cancellations after production has started (after payment) are generally not accepted.・ Progressive Cancellation Fees: Should the Artist exceptionally allow a cancellation, the following fees apply:

・ Protection of Rights: Upon cancellation/refund, all rights to any drafts or concepts provided are immediately revoked. Unauthorized use or sharing these with third parties for completion will result in a penalty of 5 times the production cost and potential legal action.・ Exceptions to Refunds: No refunds will be given after "Delivery Completion" or if the Client violates the ToS (e.g., AI usage).・ Refund Method: Refunds are processed via the original payment system (PayPal, etc.). All transaction/transfer fees are the responsibility of the Client and will be deducted from the refund amount.

AGREEMENT REGARDING CHARGEBACKS

・ Prohibition of Unfair Claims: The Client agrees not to initiate a chargeback through their payment provider without a legitimate reason after the work has been delivered.・ Liability for Damages: In the case of an unauthorized chargeback without prior consultation, the Client must compensate the Artist for the full production fee, chargeback fees imposed by the provider, and investigation costs.・ Revocation of Rights: If a chargeback is processed, all rights to use the work are immediately revoked. The Artist may demand documentation proving the destruction of the data.

一般事項

◆総則・利用資格
・ 本規約は、アーティスト（以下「当方」）が提供する制作サービス（以下「本サービス」）の利用条件を定めるものです。
・ 本サービスの利用を申し込んだ時点で、利用者は本規約の全ての条項に同意したものとみなします。
・ 本サービスをご利用いただけるのは、満18歳以上の方に限ります。◆受付および契約の成立
・ 当方は、依頼内容や公序良俗への抵触、制作スケジュール等の理由により、依頼を拒否する権利を有します。また、その理由を開示する義務を負わないものとします。
・ お見積りやお問い合わせに対する回答は、原則として1週間以内に行います。
・ 予約（キャンセル待ち）状態の場合、制作開始が確定した翌月上旬にご請求を送付いたします。当方による入金確認をもって制作開始となります。

お支払い

・ 原則： 初回ご依頼の個人クライアント様は、PayPalによる全額前払いといたします。
・ 継続特典： 2回目のご依頼より分割払い、3回目以降より後払いの相談を受け付けます。
・ 分割払いの特例： 初回から分割払いをご希望の場合は、外部プラットフォーム「VGen」経由でのご依頼に限り対応いたします。
・ 期限： 指定の期日までにお支払いが確認できない場合、ご依頼は自動的にキャンセル扱いとなります。

修正対応

・ 回数制限： 各工程（ラフ、着彩等）における修正は最大2回まで無料です。3回目以降は別途追加料金が発生します。
・ 制限事項： 仕上げ段階移行後の大幅な変更（ポーズ、デザインの作り直し等）および、ラフ段階での「全描き直し」には対応いたしかねます。
・ 指示の具体性： リクエスト時に詳細な指定がない場合、当方の裁量で制作を進めます。抽象的な指示による制作後の大幅な修正希望は、追加料金の対象となる場合があります。

納期と納品

・ 標準納期：
【通常制作】…4～6週間
【アニメーション用のレイヤー分けが必要な場合】…通常制作より+2～3週間
※作業量により変動する場合があります。

・ 変動の告知： 作業量や緊急の事情により遅延が生じる場合は、速やかにクライアントへ通知いたします。
・ 優先順位： 特急料金が適用された案件や緊急案件がある場合、制作順序が前後することがあります。

・ 検収期間： 当方が完成作品を送付した日を「納品日」とし、クライアントは送付から7日以内に内容の確認（検収）を行うものとします。
・ 自動検収： 前項の期間内にクライアントから修正依頼や不備の指摘がない場合、または当該作品をSNS等で利用開始した場合は、その時点で検収が完了し、正式に「納品完了」したものとみなします。
・ 完了後の修正： 納品完了後の修正依頼については、いかなる理由であっても新規案件（追加料金）として取り扱うものとします。

連絡途絶への対応

・ 制作の中断： 制作過程において、当方からの連絡（ラフ確認の依頼等）に対し、クライアントからの返信が14日間途絶えた場合、当該案件の制作を一時中断いたします。
・ 強制終了と返金不可： 前項の連絡途絶が30日を超えた場合、当方の判断により契約を強制終了できるものとします。この場合、制作の進行度に関わらず、受領済みの制作費用は一切返金いたしません。
・ 再開手数料： 連絡途絶後に制作再開を希望される場合は、スケジュールの再調整が必要となるため、別途再開手数料（制作費の20%〜）を申し受ける場合があります。

使用許諾および禁止事項

・ 利用範囲： 納品物は個人利用（SNSアイコン、個人鑑賞等）に限定されます。
・ 禁止行為： 第三者への譲渡、転売、無断での加筆・改変、二次配布、自作発言を固く禁じます。
・ クレジット表記： 作品を利用する際は、必ず制作者名（JuBaKo、または重箱）を明記してください。
・ AI・NFTの禁止： 生成AI（学習利用を含む）およびNFTへの利用は、いかなる場合も一切許可しません。

商用利用および違約金

・ 商用利用の定義： グッズ販売、収益化されたプラットフォームでの利用、広告収益を伴う活動等は別途商用利用料金が発生します。
・ 無断商用利用の罰則： 事前の合意なく商用利用が発覚した場合、正規の商用利用料金に加え、その3倍額を違約金（損害賠償金）として請求いたします。 また、悪質な場合は法的措置を講じ、作品の使用差し止めを請求します。

知的財産権

・ 著作権： 本作品の著作権は制作者（JuBaKo）に帰属します。
・ 実績の公開およびプロモーション： 当方は、制作した作品を実績公開やプロモーションの一環として、SNS（X/旧Twitter等）やポートフォリオに掲載する権利を有します。

キャンセルおよび返金

・ 原則:本サービスはオーダーメイドのデジタルコンテンツ制作という性質上、制作着手後（お支払い確認後）のクライアント都合によるキャンセルおよび返金には、原則として応じかねます。
・ 段階的なキャンセル料： 当方が例外的にキャンセルを認める場合であっても、作業時間の確保および機会損失を補填するため、以下の通り厳格なキャンセル料を適用します。

・ データの利用禁止および著作権の保護：
理由を問わずキャンセル・返金が発生した場合、それまでに提示した全てのラフ案、構想、中間データの利用権は即時に消滅します。
これらを無断で公開・利用・第三者へ発注するための資料として使用した場合、著作権侵害および営業妨害として、制作費の5倍額を違約金として請求し、法的措置を講じます。・ 返金不可の特例： 以下の場合は、進行度に関わらず返金には応じかねます。

・ 返金方法と手数料：返金は、原則としてお支払い時に利用された決済システム（PayPal等）を通じて行います。クライアント都合による返金の場合、決済システム側で発生する送金手数料や返金手数料はクライアントの負担とし、これらを差し引いた額を返金するものとします。

チャージバックに関する同意

・ 不当な申し立ての禁止： クライアントは、納品完了後の制作物に対し、正当な理由がない限り、決済会社へのチャージバック（支払いの異議申し立て）を行わないことに同意するものとします。
・ 賠償責任： 事前連絡のない不当なチャージバックが行われた場合、クライアントは当方に対し、制作費用の全額に加え、決済会社から課される手数料および調査費用を速やかに賠償するものとします。
・ 権利の失効： チャージバックが成立した時点で、当該作品にかかる一切の利用権は消滅します。直ちに利用を停止し、データの破棄を証明する書類の提出を求める場合があります。
